Terms and Conditions for Virtual Office Services
1. Regulatory Status
VOffice Services Pte Ltd (“VOffice” or “the Company”) is a corporate service provider regulated by the Accounting and Corporate Regulatory Authority (ACRA) under the Corporate Service Providers Act 2024 (“the Act”).
The Act, effective from 9 June 2025, requires businesses offering services such as company formation, acting as directors or secretaries, or providing registered addresses to be registered with ACRA. This ensures compliance with laws related to anti-money laundering and counter-terrorism financing. Compliance with the Act is mandatory.
2. Know-Your-Client (KYC) Requirements
Clients subscribing to our virtual office services must complete the Know-Your-Client (KYC) process within sixty (60) days from service commencement. This includes providing copies of identification and business documents, which may include (where applicable):

Identity documents of directors, shareholders, or authorised persons

ACRA business profile or equivalent

Proof of address
-
Any other information reasonably requested for compliance purposes
Failure to provide the required documents within the stipulated timeframe may result in offboarding, with no refund of fees paid.
Additional KYC Charges:
Our virtual office package covers KYC checks for up to five (5) directors, shareholders, or beneficial owners per company. For additional persons, a fee of S$10 per person applies, payable prior to or alongside completion of the KYC process.
3. Prohibited Use of Virtual Office Services
Clients may not use our services for the following:

Businesses registered as travel agencies, tour operators, reservation services, or financial institutions (i.e., entities requiring a physical office under law)

Businesses not registered in Singapore

Using the virtual address as a personal or residential mailing address

Using the virtual address as an operating address, business location, or for residential purposes, including registration with the Ministry of Manpower (MOM) for work passes or housing
4. Use of Virtual Address
Clients with ACRA-registered businesses in Singapore may use our address:

This address may appear on business collaterals such as letterheads, invoices, business cards, and official correspondence.

Personal mail (e.g., bank statements, utility bills) may be rejected and returned to sender. In such cases, VOffice may terminate services immediately with no refund.

Each virtual office package is strictly for one (1) business. Transfer to another business is prohibited.
5. Mail and Parcel Handling

Our mail service is limited to letters and documents. Parcel acceptance is discretionary and not part of standard services.

Accepted parcels must be collected within two (2) working days. Uncollected parcels may be disposed of, returned, or refused in the future.

VOffice reserves the right to open mail when necessary, including when the recipient cannot be identified.

Mail uncollected after thirty (30) days may be returned or disposed of.

VOffice is not liable for lost mail or parcels and is not obliged to forward mail improperly addressed or lacking recipient/contact details.
6. Conduct and Disruption
If any client, or anyone acting on their behalf, visits or contacts our office in a way that causes disruption, nuisance, intimidation, harassment, safety concerns, reputational risk, or interference with staff, clients, or operations, VOffice may:

Refuse access

Request immediate cessation of conduct

Terminate services with immediate effect
No refund shall be made in such cases.
7. Client Declarations
By using our Virtual Office Services, you agree to:

Accept and be bound by all clauses in these Terms and Conditions

Indemnify VOffice against any loss, costs, damages, or liabilities arising from your use of services

Confirm your business activities in Singapore are legal and compliant with all applicable laws

Ensure all information provided during onboarding and KYC is true, complete, and accurate

Acknowledge that VOffice may terminate services for any breach
-
Accept that VOffice may amend these Terms and Conditions without prior notice
8. Communications
VOffice may send emails regarding:

Changes in Singapore laws
-
Service updates
-
Marketing, promotional materials, or third-party offers for clients
Clients may opt-out at any time by unsubscribing from our mailing list.
